מה מעיק על טבע?

במאמר זה אני סוקר ומנתח נקודות חולשה אשר משפיעות על השיקולים האסטרטגים של החברה, בין היתר הניסיון לרכוש חברות המייצרות תרופות שאינן כלולות בסל התרופות של טבע.
טבע הינה חברה מובילה המשק הישראלי, אך סבלה מתנודות חזקות בערך המנייה בשנים האחרונות: מחיר המנייה ירד משמעותית עקב מספר סיבות. בעת כתיבת המאמר, מניית טבע ירדה לשפל של 33.99 דולר למנייה, ממחיר שיא בשנת 2015, של כ-71 דולר למנייה.(צניחה של כ-40%).
מה הסיבות העיקריות לכך?
- הממשל האמריקני: הילרי קלינטון יצאה באופן קטגורי נכד חברת התרופות אשר לטענתה, וללא הצדקה, מנצלות את כוכן ומעלות מחירים בצורה לא פרופורציונלית.
לדוגמא עשתה זאת החברה המתחרה של טבע: מיילן. הצהרה זו של קלינטון, תרמה לשחיקת המניות בפרמה בכלל.
- חברת רימסה המקסיקנית: מדובר על רכישה כושלת של טבע, אשר טוענת כי חברת "רימסה" רימתה בנתונים, ולא גילתה את מצבה האמיתי של החברה טרם הרכישה. משום כך, שתי החברות מתקוטטות בהליכים משפטיים לאחר שטבע תבעה את חברת רימסה. נשאלת השאלה מדוע טבע כשלה בעריכות בדיקת הנאותות (due diligence ), האם יתכן כי החברה פעלה בפזיזות והייתה להוטה מדי ברכישה?
- רכישת החטיבה הגנרית של "אלרגן" (allergan ): טבע שילמה מחיר גבוה מאד על העסקה, מכיוון שהשוק תמחר תמחור יתר את אלרגן באותה תקופה , וטבע שילמה 40 מיליארד דולר!!. גם אם רכישת אלרגן היתה נכונה והכרחית על מנת להגדיל את סל המוצרים של טבע, השאלה היא האם מחיר גבוה בכ-25% מערך החברה, היה נחוץ.
- אין זה הסוף לגבי טבע, היא תיאלץ לנקוט בצעדים משמעותיים כדי להתגבר על המשבר .
